These Terms of Service ("Terms") govern your access to and use of Receipts Vault, including our website, applications, connected mailbox features, receipt scanning and extraction tools, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.
Receipts Vault helps users collect, import, scan, extract, organize, store, and search receipts and related expense records from sources such as manual uploads, scans, and authorized mailbox connections.
You may use the Service only if you can form a binding contract under applicable law and, if you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information, keep it up to date, and notify us promptly if you suspect unauthorized access or a security incident involving your account.
If you connect a Google, Microsoft, or other third-party account, you authorize Receipts Vault to access the data and permissions you grant in order to provide the Service. You are responsible for ensuring that you have the right to connect the relevant mailbox or account and to permit the processing of its contents.
You may revoke access at any time through your Receipts Vault settings or through the relevant third-party provider's account permissions controls. Revocation may limit or disable related Service functionality.
You retain ownership of the receipts, documents, images, emails, attachments, extracted fields, and other content you submit to or process through the Service ("User Content"). You grant Receipts Vault a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, process, display, and use User Content solely as necessary to operate, secure, maintain, and improve the Service for you and to enforce these Terms.
You agree that you will not:
Receipts Vault uses automated processing, including OCR and classification tools, to identify and extract information from receipts and related documents. These features are designed to assist you, but they may not be error-free. You are responsible for reviewing extracted data and confirming its accuracy before relying on it for accounting, tax, compliance, reimbursement, or business decisions.
The Service may interoperate with third-party services, including email providers, storage providers, OCR providers, authentication providers, and payment processors. Your use of third-party services may also be subject to those providers' separate terms and privacy policies. Receipts Vault is not responsible for third-party services, their availability, or their acts or omissions.
Some parts of the Service may be offered on a paid or subscription basis. If paid features are made available, pricing, billing terms, renewal terms, and feature limits will be presented to you at the time of purchase or in a separate order form. We may modify, suspend, or discontinue parts of the Service from time to time, including to improve functionality, maintain security, or comply with legal obligations.
The Service, including its software, design, branding, text, graphics, interfaces, and underlying technology, is owned by or licensed to Receipts Vault and is protected by intellectual property and other applicable laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.
We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, created security or legal risk, failed to pay applicable fees, or used the Service in a way that may harm Receipts Vault, other users, or third parties. You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnity, and dispute-related terms.
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. Receipts Vault disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, secure, error-free, or that extracted receipt data will always be complete or accurate.
To the maximum extent permitted by law, Receipts Vault and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of Receipts Vault for all claims arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to Receipts Vault for the Service during the 12 months before the event giving rise to the claim, or (b) CAD $100.
You agree to defend, indemnify, and hold harmless Receipts Vault and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your User Content, your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict of law rules. Subject to applicable law, the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
We may update these Terms from time to time. When we do, we will post the updated version here and update the effective date above. Your continued use of the Service after the updated Terms become effective means you accept the revised Terms.
